contributors, and customers in Nigeria and internationally.

technology company registered and operating in Nigeria.
- "Content" means any text, images, videos, audio, data, code, or other

- "User," "you," or "your" refers to any individual or entity that accesses
or uses our Services.
- "User Content" means any content, data, or information that you upload,
submit, post, or transmit through our Services.
- "Services" includes all products, features, applications, websites, and
services provided by Geotopup, including but not limited to Geotopup Wallet, Tradewyre,
Social Boosta, OneRoam, Inspiral Stories, and Fitly.
- "Nigerian Law" refers to the laws, regulations, and legal framework of the
Federal Republic of Nigeria.
3. Eligibility and Account Registration
3.1 Eligibility Requirements
To use our Services, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction
- Have the legal capacity to enter into binding contracts under Nigerian law
- Not be prohibited from using our Services under Nigerian or international law
- Not have been previously suspended or banned from using our Services
- Provide accurate, complete, and current information during registration
- Comply with all applicable laws, including AML/CTF regulations
3.2 Account Registration
When you create an Account, you agree to:
- Provide accurate, truthful, and up-to-date information
- Maintain the security and confidentiality of your account credentials
- Not share your account with any third party
- Notify us immediately of any unauthorized access or security breach
- Be responsible for all activities that occur under your account
- Complete identity verification (KYC) when required
3.3 Account Verification
We reserve the right to verify your identity and require additional documentation, including:

- Bank Verification Number (BVN)
- National Identification Number (NIN)
- Proof of address
- Selfie or biometric verification
- Source of funds documentation
Failure to provide requested verification may result in account suspension or termination.

4.3 Social Boosta
A social media growth and management tool providing:
- Social media follower growth services
- Engagement and interaction optimization
- Content scheduling and management
- AI-powered content generation
4.4 OneRoam
A travel and connectivity platform offering:
- Global eSIM services
- Flight booking and reservations
- Hotel booking and accommodation services
- Travel itinerary management
- International roaming solutions
4.5 Inspiral Stories
An audio storytelling platform featuring:
- World history and cultural stories
- Audio narration and podcasts
- Educational and inspirational content
- Offline listening capabilities
- Personalized content recommendations
4.6 Fitly
A fitness and wellness application providing:
- Personalized workout plans
- Fitness tracking and progress monitoring
- Nutrition guidance and meal planning
- Virtual fitness coaching
- Health and wellness resources
Service Availability: We reserve the right to modify, suspend, or
discontinue any Service or feature at any time without prior notice. We are not liable for
any modification, suspension, or discontinuation of Services.
5. User Obligations and Conduct
5.1 Compliance with Laws
You agree to comply with all applicable laws and regulations, including but not limited to:
- Nigerian Data Protection Regulation (NDPR) and Nigeria Data Protection Act (NDPA)
- Economic and Financial Crimes Commission (EFCC) Act
- Money Laundering (Prohibition) Act
- Central Bank of Nigeria (CBN) regulations
- Securities and Exchange Commission (SEC) regulations
- Consumer Protection Council (CPC) Act
- Cybercrime Act 2015
5.2 Lawful Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You
must not:
- Violate any local, state, national, or international law
- Infringe upon the rights of others
- Engage in fraudulent, deceptive, or misleading practices
- Interfere with or disrupt the integrity or performance of our Services
- Attempt to gain unauthorized access to our systems or networks
5.3 Account Security
You are responsible for maintaining the security of your Account, including:
- Keeping your password and authentication credentials confidential
- Using strong, unique passwords
- Enabling multi-factor authentication when available
- Monitoring your account for unauthorized activity
- Reporting any security breaches immediately
6. Prohibited Activities

- Reverse engineering or decompiling our software
- Using bots, scripts, or automated tools
- Bypassing security measures or access controls
- Scraping or data mining without authorization
6.3 Abusive Behavior
- Harassment, bullying, or threatening other users
- Posting offensive, defamatory, or hateful content
- Impersonating others or creating fake accounts
- Spamming or unsolicited marketing
- Violating intellectual property rights
6.4 Financial Misconduct
- Unauthorized chargebacks or payment disputes
- Using stolen payment instruments
- Market manipulation or price fixing (for Tradewyre)
- Ponzi schemes or pyramid schemes
- Wash trading or self-dealing
7. KYC and AML Compliance
7.1 Know Your Customer (KYC)
In compliance with Nigerian regulations, we are required to verify the identity of our users.
You agree to:
- Provide accurate and truthful identification information
- Submit required documentation within specified timeframes
- Update your information when it changes
- Cooperate with verification procedures
- Authorize us to verify your information with third-party services
7.2 Anti-Money Laundering (AML)
We maintain strict AML policies in accordance with Nigerian law. We reserve the right to:
- Monitor and investigate suspicious transactions
- Request additional documentation regarding the source of funds
- Report suspicious activities to relevant authorities (EFCC, NFIU)
- Freeze or suspend accounts pending investigation
- Refuse service to individuals or entities on sanctions lists
7.3 Transaction Monitoring
All transactions are subject to automated and manual monitoring for compliance purposes. Large or
unusual transactions may require additional verification.
8. Payments, Fees, and Refunds
8.1 Service Fees
We charge fees for certain Services, which will be clearly disclosed before you complete a
transaction. Fees may include:
- Transaction fees
- Service charges
- Subscription fees
- Withdrawal fees
- Currency conversion fees
- Third-party processing fees
8.2 Payment Methods
We accept various payment methods, including:
- Bank transfers (Nigerian banks)
- Debit and credit cards
- Mobile money (USSD, mobile wallets)
- Cryptocurrency (for applicable services)
- Third-party payment processors (Paystack, Flutterwave)
8.3 Pricing and Changes
We reserve the right to change our pricing and fees at any time. Changes will be communicated in
advance, and continued use of Services after changes constitutes acceptance of new pricing.
8.4 Refund Policy
- Digital Services: Generally non-refundable once delivered
- Failed Transactions: Refunded within 7-14 business days
- Service Errors: Refunds processed on a case-by-case basis
- Subscription Services: No refunds for partial months; cancellation takes
effect at end of billing period
- Disputes: Must be reported within 30 days of transaction
8.5 Taxes
You are responsible for all applicable taxes, including but not limited to Value Added Tax (VAT),
as required by Nigerian law. Prices may include VAT where applicable.
9. Intellectual Property Rights
9.1 Our Intellectual Property
All content, features, functionality, trademarks, service marks, logos, designs, software, and
other materials (collectively, "Geotopup IP") are owned by or licensed to Geotopup and are
protected by Nigerian and international intellectual property laws.
This includes but is not limited to:
- Geotopup brand names and logos
- Product names (Geotopup Wallet, Tradewyre, Social Boosta, OneRoam, Inspiral Stories, Fitly)
- Software code and algorithms
- User interfaces and designs
- Content, text, images, and videos
- Databases and data compilations
9.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use our Services for personal or commercial purposes as intended
- Download mobile applications from authorized app stores
- View and interact with content made available through our Services
This license does not permit you to:
- Modify, copy, reproduce, or create derivative works
- Distribute, sell, rent, lease, or sublicense
- Reverse engineer, decompile, or disassemble
- Remove or alter copyright notices or trademarks
9.3 Copyright Infringement
We respect intellectual property rights and expect users to do the same. If you believe your
copyright has been infringed, please contact us with:

- Location of infringing material
- Your contact information
- Statement of good faith belief
- Statement of accuracy under penalty of perjury
10. User-Generated Content
10.1 Your Content License to Us
When you submit, post, or upload User Content to our Services, you grant us a worldwide,
non-exclusive, royalty-free, transferable license to:
- Use, reproduce, modify, adapt, and publish your content
- Display, distribute, and create derivative works
- Incorporate your content into our Services
- Sublicense to third-party service providers
10.2 Content Responsibility
You are solely responsible for your User Content and warrant that:
- You own or have necessary rights to the content
- Content does not violate any laws or rights of others
- Content is accurate and not misleading
- Content does not contain malware or harmful code
10.3 Content Moderation
We reserve the right to review, monitor, remove, or modify User Content that:
- Violates these Terms or our policies
- Is illegal, offensive, or harmful
- Infringes intellectual property rights
- Contains spam or unsolicited advertising
11. Disclaimers and Warranties
11.1 "As Is" Basis
Our Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind,
either express or implied, including but not limited to:
- Implied warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy, completeness, or reliability
- Uninterrupted or error-free operation
11.2 No Investment Advice
For cryptocurrency trading services (Tradewyre):
- We do not provide investment, financial, or tax advice
- Cryptocurrency trading involves significant risk
- Past performance does not guarantee future results
- You should consult professional advisors before trading
11.3 Third-Party Services
We are not responsible for:
- Third-party content, products, or services
- Actions or omissions of third-party providers
- Availability or accuracy of external websites
- Third-party payment processors or banks
11.4 Health Disclaimers (Fitly)
Fitness and health information is for educational purposes only:
- Not a substitute for professional medical advice
- Consult healthcare providers before starting any fitness program
- We are not responsible for injuries or health issues
12. Limitation of Liability
12.1 No Liability for Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY NIGERIAN LAW, GEOTOPUP SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions or data loss
- Unauthorized access to your account or data
- Errors, mistakes, or inaccuracies in content
- Personal injury or property damage
- Third-party conduct or content
12.2 Liability Cap
Our total liability to you for all claims arising from or related to these Terms or our Services
shall not exceed the greater of:
- The amount you paid to us in the 12 months preceding the claim, or
- NGN 100,000 (One Hundred Thousand Naira)
12.3 Force Majeure
We are not liable for delays or failures caused by circumstances beyond our reasonable control,
including:
- Natural disasters, pandemics, or acts of God
- War, terrorism, or civil unrest
- Government actions or regulatory changes
- Internet outages or telecommunications failures
- Cyberattacks or security breaches
13. Indemnification
You agree to indemnify, defend, and hold harmless Geotopup Technology Solutions, its affiliates,
officers, directors, employees, agents, and partners from and against any and all claims,
liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees)
arising from or related to:
- Your use or misuse of our Services
- Your violation of these Terms or any applicable law
- Your violation of any rights of third parties
- Your User Content or conduct
- Any fraudulent or illegal activity associated with your Account
This indemnification obligation will survive termination of these Terms and your use of our
Services.
14. Termination and Suspension
14.1 Termination by You
You may terminate your Account at any time by:
- Contacting our customer support
- Following account closure procedures in the app
- Sending written notice to our registered address
14.2 Termination by Us
We reserve the right to suspend or terminate your Account immediately, without prior notice, if:
- You violate these Terms or any applicable policies
- We suspect fraudulent, illegal, or suspicious activity
- We are required to do so by law or regulatory authorities
- Your account has been inactive for an extended period
- We decide to discontinue the Services
14.3 Effects of Termination
Upon termination:
- Your access to Services will be immediately revoked
- We may delete your Account and data (subject to legal retention requirements)
- You must immediately cease using our Services
- Outstanding fees and obligations remain payable
- Provisions that should survive termination will continue to apply
14.4 No Liability
We are not liable to you or any third party for termination or suspension of your Account.
15. Dispute Resolution and Governing Law
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal
Republic of Nigeria, without regard to its conflict of law provisions.
15.2 Jurisdiction
Any legal action or proceeding arising out of or related to these Terms shall be brought
exclusively in the competent courts located in Ibadan, Oyo State, Nigeria, or the Federal High
Court of Nigeria.
15.3 Dispute Resolution Process
Before initiating any legal proceedings, you agree to attempt to resolve disputes through the
following process:
Step 1: Informal Negotiation
Contact us at legal@geotopup.com with a detailed
description of the dispute. We will attempt to resolve the matter within 30 days.
Step 2: Mediation
If informal negotiation fails, the parties agree to submit the dispute to mediation before a
mutually agreed mediator in Ibadan, Nigeria.
Step 3: Arbitration (Optional)
If mediation fails, disputes may be resolved through binding arbitration under the Arbitration
and Conciliation Act (Cap A18, Laws of the Federation of Nigeria).
15.4 Class Action Waiver
You agree to bring claims against us only in your individual capacity and not as part of any
class or representative action.
15.5 Time Limitation
Any claim or cause of action arising from these Terms must be filed within one (1) year after the
claim arose, or it will be permanently barred.
16. Modifications to Terms
We reserve the right to modify, amend, or update these Terms at any time at our sole discretion.
16.1 Notice of Changes
When we make material changes, we will:
- Update the "Last Updated" date at the top of these Terms
- Notify you via email or through our Services
- Display a prominent notice on our website or app
- Request your acceptance if required by law
16.2 Acceptance of Changes
Your continued use of our Services after changes take effect constitutes acceptance of the
modified Terms. If you do not agree to the changes, you must stop using our Services and close
your Account.
16.3 Review Responsibility
It is your responsibility to review these Terms periodically for updates and changes.
17. Miscellaneous Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and any other applicable policies, constitute the
entire agreement between you and Geotopup regarding the use of our Services.
17.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining
provisions shall continue in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of
such right or provision.
17.4 Assignment
You may not assign or transfer these Terms or your Account without our prior written consent. We
may assign or transfer these Terms at any time without restriction.
17.5 No Agency
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship
between you and Geotopup.
17.6 Survival
Provisions that by their nature should survive termination shall survive, including but not
limited to: intellectual property rights, disclaimers, limitations of liability,
indemnification, dispute resolution, and governing law.
17.7 Language
These Terms are written in English. Any translations are provided for convenience only. In the
event of any conflict, the English version shall prevail.
17.8 Notices
All notices to you will be provided via email, through our Services, or by posting on our
website. Notices to us must be sent to the contact information provided in Section 18.
17.9 Electronic Communications
You consent to receive electronic communications from us, and agree that such communications
satisfy any legal requirement that communications be in writing.
